Oak & Rally – Online Shop for Clothing

§ 1 Scope and Contracting Party
1.1 These Terms and Conditions apply to all orders placed via the online shop at www.the-simple-club.ch.

1.3 The contract language is English.
1.4 Deviating conditions of the customer are not recognised unless we expressly agree to their validity in writing.
§ 2 Offer and Conclusion of Contract
2.1 The presentation of products in the online shop does not constitute a legally binding offer, but a non-binding invitation to order (invitatio ad offerendum).
2.2 By submitting the order, the customer makes a binding offer to purchase the selected products.
2.3 After receipt of the order, the customer receives an automatic confirmation email. This confirmation does not yet constitute acceptance of the offer.
2.4 The purchase contract is only concluded when we accept the order by a separate order confirmation email or ship the goods. We reserve the right to reject orders without giving reasons.
§ 3 Prices and Payment Terms
3.1 All prices stated are total prices in Swiss Francs (CHF) and include statutory VAT. Any shipping costs are shown separately.
3.2 We reserve the right to change prices at any time. The price displayed at the time of ordering is binding.

3.3 The following payment methods are available:
– Credit card (Visa, Mastercard)

§ 4 Delivery and Shipping
4.1 The delivery period after receipt of payment is generally 5–10 working days within Switzerland, unless otherwise stated.
4.2 Shipping costs are clearly shown during the ordering process and are to be borne by the customer unless a free shipping option has been agreed.
4.3 The risk of accidental loss and accidental deterioration of the goods passes to the customer upon handover to the shipping service provider.
4.5 Should delivery be delayed due to force majeure, strikes or other unforeseen circumstances, we will inform the customer without delay.
§ 5 Right of Withdrawal and Returns
5.1 Customers may return ordered goods within 30 calendar days of receipt of the goods, provided they are unworn, unwashed, with all original labels attached and in their original condition.
5.3 Reasons for return: Returns are only possible in the case of demonstrable product defects, manufacturing errors or incorrect deliveries. Returns, exchanges or refunds due to an incorrectly ordered size, incorrect selection by the customer or a mere change of mind are excluded.
5.4 To make a return, please contact info@oakandrally.com in advance. We will provide you with the return address and further instructions.
5.5 Return shipping costs are borne by the customer unless the return is due to an error on our part.
5.6 After receipt and inspection of the return, we will refund the purchase price within 14 days to the original payment method.
§ 6 Retention of Title
6.1 The delivered goods remain our property until full payment of the purchase price (retention of title pursuant to Art. 715 ZGB).
6.2 The customer is obliged to handle the reserved goods with care until full payment.
§ 7 Warranty
7.1 For defects in the purchased item, the statutory provisions of the Swiss Code of Obligations (OR) apply, in particular Art. 197 ff. OR.
7.2 The warranty period is two years from delivery of the goods (Art. 210 OR).
7.3 Defects must be reported in writing immediately after discovery. Obvious defects must be reported within 7 days of receipt of the goods.
7.4 In the event of a justified complaint, we have the choice between repair, replacement delivery, price reduction or cancellation of contract.
§ 8 Limitation of Liability
8.1 We are liable without limitation for damages caused by intentional or grossly negligent conduct.
8.2 For slight negligence, we are only liable if an essential contractual obligation (cardinal obligation) has been breached. In such cases, liability is limited to the foreseeable, contract-typical damage.
8.3 The above limitations of liability do not apply in cases of injury to life, body or health, or liability under product liability law.
8.4 We accept no liability for damages caused by force majeure.
§ 9 Data Protection
9.1 The protection of your personal data is important to us. Information on the collection, processing and use of your personal data can be found in our privacy policy on our website.
9.2 Your data will be used exclusively for contract processing and – if you have consented – for marketing purposes. Data will only be passed on to third parties insofar as this is necessary for contract fulfilment (e.g. shipping service providers, payment providers).
9.3 The Swiss Federal Act on Data Protection (FADP) and the privacy policy on our website apply.
§ 10 Copyright and Trademark Law
10.1 All content of the online shop (texts, images, graphics, logos, etc.) is protected by copyright. Reproduction or use without express permission is prohibited.
§ 11 Dispute Resolution and Applicable Law
11.1 These Terms and Conditions and all legal relationships arising therefrom are subject exclusively to Swiss law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and private international law.
11.2 The exclusive place of jurisdiction for disputes arising from or in connection with this contract is Basel-Stadt, Switzerland, to the extent permitted by law.
11.3 For consumers, this place of jurisdiction only applies insofar as no mandatory statutory jurisdiction provisions conflict.
11.4 For out-of-court dispute resolution, consumers may contact the Swiss Ombudsman for E-Commerce (www.ombudscom.ch), to the extent it has jurisdiction.
§ 12 Severability Clause and Amendments
12.1 Should individual provisions of these Terms and Conditions be wholly or partially invalid, the validity of the remaining provisions shall remain unaffected. The statutory provision shall apply in place of the invalid provision.
12.2 We reserve the right to amend these Terms and Conditions at any time. The Terms and Conditions valid at the time of ordering shall apply.
